These Terms of Service (“Terms”) govern your access to and use of websites, landing pages, applications, communications, programs, and coaching services provided by Happens By Chance LLC, operating under the Happens By Chance Life Coaching brand (“Happens By Chance Life Coaching,” “Happens By Chance,” “we,” “us,” or “our”).
By accessing our website or landing pages, submitting an inquiry or application, scheduling a consultation or coaching session, purchasing or participating in coaching services, or otherwise interacting with Happens By Chance Life Coaching, you agree to these Terms.

2. Coaching Services
Happens By Chance Life Coaching provides life coaching and consulting services intended to support personal development, self-examination, decision-making, goal development, personal responsibility, and meaningful life change.
Services may include:

Digital or virtual sessions
Related coaching and consulting services
The specific scope, duration, price, schedule, payment terms, and other conditions of a particular coaching program or service may be described separately at the time of application, enrollment, scheduling, or purchase.
3. Separate Coaching Agreements
Certain coaching services may require a separate written coaching agreement, enrollment agreement, payment agreement, informed-consent document, or other contract.
Where a separate agreement applies, the terms of that agreement will govern the applicable coaching relationship if they differ from these general Terms.
These Terms are intended to govern general use of Happens By Chance Life Coaching websites, landing pages, communications, and services and do not replace a more specific written agreement between Happens By Chance and a client.
4. Nature of Coaching
Coaching is a collaborative process intended to help clients examine their lives, clarify what they want, identify opportunities for change, make decisions, develop greater personal awareness, and take meaningful action.

Decisions
Actions
Choices
Relationships
Financial decisions
Professional decisions
Health decisions
Personal outcomes
Participation in coaching does not transfer responsibility for a client’s life decisions or actions to Happens By Chance Life Coaching.
5. Coaching Is Not Therapy or Healthcare
Happens By Chance Life Coaching provides life coaching and consulting services.
These services are not medical care, psychotherapy, psychiatric care, psychological treatment, diagnosis, crisis intervention, or other licensed healthcare services.
Nothing communicated through our websites, applications, programs, coaching sessions, materials, email, SMS, telephone calls, or other communications should be interpreted as medical, psychiatric, psychological, legal, tax, financial, investment, or other licensed professional advice.
Clients who require such services should seek assistance from an appropriately licensed professional.
6. Eligibility
You must be at least 18 years old to independently apply for, purchase, or participate in Happens By Chance Life Coaching services unless otherwise expressly agreed in writing and permitted by applicable law.
7. Applications and Consultations
Submitting an application, inquiry, questionnaire, or consultation request does not guarantee acceptance into a coaching program.
Happens By Chance Life Coaching may determine whether a prospective client and a particular coaching service appear to be an appropriate fit before accepting an enrollment.
Information submitted during an application or consultation process will be handled according to our Privacy Policy.
8. Scheduling and Attendance
Clients are responsible for scheduling and attending coaching sessions according to the procedures provided for the applicable program.
Specific coaching programs may contain separate policies regarding:
Scheduling
Rescheduling
Cancellations
Missed sessions
Late arrivals
Program duration
Session expiration
Pauses or extensions
Where a separate coaching agreement establishes specific scheduling or attendance requirements, that agreement will govern.
9. Fees and Payments
Prices and payment terms will be disclosed before purchase or enrollment.
Depending on the coaching service, payment may be required:
In full before the program begins
According to an installment plan
According to another written payment arrangement
By completing a purchase or entering into a payment arrangement, you authorize the applicable payment processor to charge the amounts you have agreed to pay according to the applicable terms.
We may use third-party payment processors and generally do not directly store complete payment-card information.
10. Refunds
Refund eligibility, if any, will be governed by the terms presented for the applicable coaching program or by a separate written coaching or enrollment agreement.
Different programs may have different refund policies.
Unless otherwise required by law or expressly provided in an applicable written agreement, Happens By Chance Life Coaching is not obligated to provide refunds outside the agreed refund terms.
11. Client Responsibility
Coaching requires active participation by the client.
Clients are responsible for:
Providing accurate information
Participating voluntarily
Attending scheduled sessions
Communicating questions or concerns
Making their own decisions
Taking responsibility for their actions
Seeking appropriately licensed professional assistance when needed
Happens By Chance Life Coaching does not make decisions on behalf of clients.
12. No Guarantee of Results
Personal development and coaching outcomes vary substantially among individuals.
Happens By Chance Life Coaching does not guarantee any particular:
Personal transformation
Financial result
Professional outcome
Relationship outcome
Emotional outcome
Lifestyle change
Business result
Other specific result
Testimonials, client experiences, case examples, illustrative stories, or success stories represent individual experiences and should not be interpreted as guarantees of future results.
13. Intellectual Property
Unless otherwise stated, original materials created or owned by Happens By Chance LLC and used through Happens By Chance Life Coaching are protected intellectual property.
These materials may include:
Coaching frameworks
Written materials
Exercises
Worksheets
Assessments
Videos
Audio
Presentations
Program materials
Website content
Graphics
Branding
Proprietary processes or methods
Materials provided to clients are generally intended for the client’s personal, noncommercial use.
You may not reproduce, publish, distribute, sell, sublicense, commercially exploit, or create derivative commercial products from protected Happens By Chance materials without prior written permission.
14. SMS and Mobile Messaging Terms
Program Name: Happens By Chance Life Coaching
Happens By Chance Life Coaching uses SMS messaging primarily to communicate with prospective and current clients regarding consultations, appointments, scheduling, meetings, and coaching-related services.
Individuals who affirmatively consent to receive SMS messages may receive messages including:
Consultation confirmations
Appointment confirmations
Appointment reminders
Scheduling updates
Meeting reminders
Responses to inquiries
Coaching-related client communications
Information directly related to services they have requested
Message frequency varies.
Message and data rates may apply.
Consent to receive SMS messages is not a condition of purchasing goods or services.
You may opt out of SMS messages at any time by replying STOP.
For assistance, reply HELP or contact:
Wireless carriers are not responsible for delayed or undelivered messages.
HighLevel’s current guidance specifically calls for clear support information, message descriptions, opt-out instructions, and recurring-message disclosure where applicable in the mobile Terms.
15. Email Communications
By providing your email address, you acknowledge that Happens By Chance Life Coaching may send communications reasonably necessary to:
Respond to inquiries
Administer applications or consultations
Schedule appointments
Provide coaching services
Deliver requested materials
Maintain an existing client relationship
Provide transactional or service-related information
Where permitted and where appropriate consent has been provided, we may also send newsletters, educational content, announcements, or promotional communications.

16. Privacy
Our collection, use, maintenance, disclosure, and protection of personal information are governed by the Happens By Chance Life Coaching Privacy Policy.

However, we do not guarantee that all information will always be complete, error-free, current, or continuously available.
We may modify, replace, suspend, or discontinue website features, content, or services subject to any contractual obligations already entered into with clients.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Happens By Chance LLC and its owners, employees, contractors, agents, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of our websites, communications, materials, or coaching services.
Happens By Chance is not responsible for losses resulting from personal decisions or actions taken by a client during or following participation in coaching.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Happens By Chance LLC and its owners, employees, contractors, and representatives from claims, liabilities, losses, or expenses arising from your unlawful misuse of our websites, services, intellectual property, or materials, or from your violation of these Terms.
21. Force Majeure
Happens By Chance will not be responsible for delay or failure to perform caused by circumstances reasonably beyond our control, including natural disasters, government actions, internet or technology failures, illness, emergencies, power outages, transportation disruptions, or similar events.
Where such circumstances affect a scheduled coaching service, we will make reasonable efforts to communicate with affected clients and determine an appropriate next step.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, technology, business practices, or legal requirements.
The revised Terms will display an updated effective date.
Material changes affecting an existing contractual relationship will remain subject to applicable law and any separate written agreement governing that relationship.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
24. No Waiver
Failure by Happens By Chance to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
25. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute will remain subject to applicable federal and California law and to any dispute-resolution provisions contained in a separate written agreement between the parties.
